A Spanish Power of Attorney (Poder Notarial) allows a company or its representatives to act legally on its behalf in Spain. This is often needed for managing assets, signing contracts, opening bank accounts, or representing the company before Spanish authorities.
Companies with interests in Spain—such as property, investments, or business operations—can appoint a trusted representative to act on their behalf. This saves time, avoids unnecessary travel, and ensures transactions are carried out efficiently and legally.
General Power of Attorney: Authorises representatives to manage most company matters in Spain, such as contracts, property, or banking.
Special Power of Attorney: Limited to specific tasks, such as signing a single contract or completing a particular legal or administrative process.
Choose trusted representatives: Typically directors, managers, or legal advisors in Spain.
Draft clearly: Specify exactly which powers are granted to avoid ambiguity.
Notarisation and legalisation: The Power of Attorney is signed before a Notary Public in England and Wales, and legalised with a Hague Apostille to ensure recognition in Spain.
Company registration documents
Proof of directors’ identity and address
Letter of Authority, Minute, Resolution, or Power of Attorney authorising the signatory
Details of the appointed representative(s) in Spain
Once notarised and Apostilled, the Power of Attorney can be sent directly to the Spanish representative by courier or collected in person.
A corporate Power of Attorney remains valid until revoked. Revocation is done via a notarial deed, notifying all relevant parties and authorities.
A Notary Public ensures the document:
Complies with both English and Spanish law
Accurately reflects the company’s instructions
Is recognised in Spain via Hague Apostille certification
Can be processed efficiently, saving time and avoiding errors
