Corporate Powers of Attorney - Spain
Learn how a Spanish Power of Attorney allows companies to appoint trusted representatives in Spain, manage business matters efficiently, and ensure legal compliance.

A Spanish Power of Attorney (Poder Notarial) allows a company or its representatives to act legally on its behalf in Spain. This is often needed for managing assets, signing contracts, opening bank accounts, or representing the company before Spanish authorities.

Why companies use a Spanish Power of Attorney

Companies with interests in Spain—such as property, investments, or business operations—can appoint a trusted representative to act on their behalf. This saves time, avoids unnecessary travel, and ensures transactions are carried out efficiently and legally.

Types of Powers of Attorney for companies
  • General Power of Attorney: Authorises representatives to manage most company matters in Spain, such as contracts, property, or banking.

  • Special Power of Attorney: Limited to specific tasks, such as signing a single contract or completing a particular legal or administrative process.

Granting the Power of Attorney
  1. Choose trusted representatives: Typically directors, managers, or legal advisors in Spain.

  2. Draft clearly: Specify exactly which powers are granted to avoid ambiguity.

  3. Notarisation and legalisation: The Power of Attorney is signed before a Notary Public in England and Wales, and legalised with a Hague Apostille to ensure recognition in Spain.

Documents usually required
  • Company registration documents

  • Proof of directors’ identity and address

  • Letter of Authority, Minute, Resolution, or Power of Attorney authorising the signatory

  • Details of the appointed representative(s) in Spain

Execution and delivery

Once notarised and Apostilled, the Power of Attorney can be sent directly to the Spanish representative by courier or collected in person.

Revocation

A corporate Power of Attorney remains valid until revoked. Revocation is done via a notarial deed, notifying all relevant parties and authorities.

Why use a Notary Public

A Notary Public ensures the document:

  • Complies with both English and Spanish law

  • Accurately reflects the company’s instructions

  • Is recognised in Spain via Hague Apostille certification

  • Can be processed efficiently, saving time and avoiding errors
